iDialogue — End User License Agreement (EULA)
Governing Law: Contra Costa County, California Effective Upon Acceptance
This End User License Agreement (“EULA”) governs the use of the iDialogue Salesforce Application and iDialogue Platform Services by Customer and its authorized users (“Users”). By accessing or using the Software, Customer agrees to be bound by this EULA.

- LICENSE GRANT
1.1 License to the iDialogue Salesforce Application
iDialogue grants Customer a limited, non-exclusive, non-transferable, revocable license to install and use the iDialogue Salesforce Application (the “Partner Application”) within Customer’s Salesforce organization for the Term of the subscription.
This includes: • UI components • Admin configuration tools • Light agent execution capabilities • Baseline document processing (1-page OCR and 1-page PDF generation) • One (1) small Agent Knowledge Store • One (1) baseline background agent (with severe limits) • Other metadata, flows, and configuration elements
1.2 License to Platform Services
iDialogue grants Customer access to Platform Services — external compute and storage, including advanced document processing, AI agent execution, vector retrieval, background workflows, and large-scale processing — subject to: • Customer’s subscription tier • Available Credits • This EULA • The Terms & Conditions
Platform Services are not part of the Salesforce-managed package and may be suspended independently.

- USE RESTRICTIONS
Customer and Users shall not:
- Use the Software to violate any laws or third-party rights
- Copy, reverse engineer, decompile, or modify the Software
- Circumvent technical limitations or usage restrictions
- Interfere with the operation of Platform Services, API, or infrastructure
- Use the baseline features to emulate full Platform Services
- Share login credentials or access tokens outside Customer’s organization
- Upload prohibited, illegal, or infringing content
- Perform security scanning or load testing without authorization
Unauthorized use may result in termination or suspension.

- USAGE LIMITATIONS
3.1 Baseline Mode (When Credits Are Exhausted)
When Credits reach zero, Customer enters Baseline Mode, which includes: • 1 request per minute • Nano model only • Tiny token limits • Max 1-page OCR • Max 1-page PDF generation • One small knowledge store • Severely limited tools • Background agent execution limited to 1 job/minute and ≤ 1,000 input tokens • No multi-turn agents • No large documents • No batch updates • No complex pipelines
Baseline Mode ensures the Partner Application remains usable, even without purchasing additional Credits.

3.2 Feature Degradation in Baseline Mode
iDialogue may degrade features when: • Credits are exhausted • Customer is past due on billing • Abuse or misuse is detected
Degraded features operate at minimal levels sufficient for Partner Application completeness.

3.3 Additional Credits and Capacity
Access to enhanced functionality, large models, large documents, RAG retrieval, multi-turn agents, background automation, and expanded knowledge stores requires Credits and/or an upgraded subscription.

- UPDATES, CHANGES, AND MODIFICATIONS
iDialogue may: • Update the Partner Application • Change or improve Platform Services • Modify or adjust features and usage limits • Adjust credit costs or consumption rules • Add or remove tools
Updates will not materially degrade the baseline functionality of the Partner Application.

- DATA HANDLING
5.1 Customer Data
Customer retains ownership of its Salesforce data.
5.2 Platform Data
Data processed by Platform Services (including embeddings, parsed content, or logs) may be stored on cloud infrastructure and deleted according to retention policies.
5.3 Knowledge Stores
One small baseline Knowledge Store is included. Additional Knowledge Stores or expanded capacity require Credits.
5.4 Confidentiality
iDialogue implements reasonable safeguards but is not liable for third-party service interruptions (AWS, OpenAI).

- TERM AND TERMINATION
6.1 Term
The license remains active as long as Customer’s subscription is active.
6.2 Suspension
iDialogue may suspend Platform Services if: • Customer is > 30 days past due • Misuse or abuse occurs • Security issues arise
The Partner Application will remain functional in Baseline Mode.
6.3 Termination
Either party may terminate the Agreement for material breach not cured within 30 days.
Upon termination: • Platform Services cease • Baseline Partner Application functions may remain accessible for a transition period • iDialogue may purge data per retention schedules

- WARRANTIES AND DISCLAIMERS
iDialogue provides all services “as-is” and disclaims: • Implied warranties • Fitness for a particular purpose • Non-infringement • Availability guarantees
Customer acknowledges Platform Services rely on third-party infrastructure.

- LIMITATION OF LIABILITY
iDialogue’s liability is limited to the amount paid by Customer in the 12 months preceding the claim. No indirect or consequential damages may be claimed.

- GOVERNING LAW
This EULA is governed by the laws of California, with venue in Contra Costa County.

- ENTIRE AGREEMENT
This EULA, together with the Terms & Conditions and any ordering documents, constitutes the full agreement between Customer and iDialogue.
